- General provisions
- 1.1. These general conditions of sale (hereinafter, "Terms and Conditions") apply to all distance sales of "Pirinthian Portraits" products (hereinafter, Portrait, Portraits, Painting, Paintings or Products) carried out through the www.pirinthianportraits.com website (hereinafter, "Website").
- 1.2. Distance selling services described in these Terms and Conditions are only available to consumers (hereinafter, "Clients" or "Client") being natural persons acting for purposes extraneous to their trade, business, craft and profession, aged over 18 (or, if they are minors, duly authorized by their legal representative).
- 1.3. The language used to enter any contract through this Website is English.
- 1.4. Clients are required to carefully read the Terms and Conditions, which have been made available on the Website to enable Clients to acknowledge, store and reproduce them.
- 1.5. Contracts entered into with Pirinthian Portraits (as defined below) through the Website are governed by English law.
- Identification of the vendor
- The vendor is Pirinthian Portraits, a trading name and part of Equoia Limited, with its registered office at 90 Paul Street, London EC2A 4NE. VAT number 628462818, Company registration number: 3400327 (hereinafter, "Pirinthian Portraits").
- Information on Portraits and their availability
- 3.1. All Portraits are one-off, hand-painted, bespoke productions.
- 3.2. Depictions of the Portraits displayed on the Website may not correspond precisely to their actual appearance, colours may differ on the Clients computer/tablet screen depending on individual settings.
- 3.3. All Portraits are subject to availability. Pirinthian Portraits reserves the right at any time to alter limits on quantities, the types of Portraits available or the time taken to fulfil an order due to seasonal fluctuations in demand. The style, models and colours of the Portraits described on the Website may be changed without notice. Our current fulfilment time is 6 weeks from order placement, if an order cannot be processed due to seasonal fluctuations the client will be informed.
- Prices
- 4.1. The prices of the Portraits are indicated on the Website in GBP and are inclusive of all applicable taxes and charges. Delivery costs are included in the price of Portraits and may be shown as a zero cost item in the shopping cart.
- 4.2. Pirinthian Portraits regularly verifies that all the prices displayed on the Website are correct, however, cannot guarantee the absence of errors. In the event that an error in the pricing of a Portrait is detected, Pirinthian Portraits shall offer the Client the opportunity to purchase the Portrait at the correct price or to cancel the order.
- 4.3. The information displayed on the Website does not represent an offer by Pirinthian Portraits.
- Gift Certificates
- 5.1. Pirinthian Portrait Promotional Gift Certificates:
- 5.1.1. Redeemable online only, with a maximum value of £250 taken off the price of one portrait.
- 5.1.2. Valid only with an offer code printed on the accompanying letter.
- 5.1.3. Can used in combination with non-promotional Gift Certificates, which are available for purchase on our website.
- 5.1.4. Cannot be exchanged for cash or used with any other offers.
- 5.1.5. We reserve the right to amend this promotional offer at any time without prior notice.
- 5.1.6. Exclusively available at selected independent outlets. Please email us for the address of your nearest outlet as Promotional Gift Certificates are not available for purchase online.
- 5.1.7. Whether you have purchased or been given a Promotional Gift Certificate you will be able to redeem its face value off the purchase price of one commissioned portrait.
- 5.2. Pirinthian Portraits Standard Gift Certificates:
- 5.2.1. Standard Gift Certificates will have a unique identification number on the accompanying letter. Simply insert this number into the required box at checkout. The total face value of the certificates will be deducted from the purchase price.
- 5.2.2 Whether you have purchased or been given a Standard Gift Certificate, and whether you have one or more than one certificate, you should have an accompanying letter containing a Gift Certificate Number to be used at the check-out stage.
- Purchases
- 6.1. The essential characteristics and the price of each Portrait are provided for each Portrait displayed on the Website.
- 6.2. Before a Client submits an order proposal, Clients should ensure that they read and understand all the instructions provided on the website along with these Terms and Conditions, because they will be bound by all of them once a contract comes into existence. To purchase a Portrait, Clients must fill in the portrait commissioning form after payment and submit it to Pirinthian Portraits through the Website. Clients must place the Portrait in their "shopping basket" and, after having read and accepted these Terms and Conditions, with particular regard to the right of cancellation, as well as after having read the privacy policy statement, must select the desired payment method and choose the "place order" option.
- 6.3. If Clients need to correct any errors in details they have entered, they should follow the process provided on the Website, before sending their order proposal or send an email with the correct details.
- 6.4. By sending the portrait commissioning form to Pirinthian Portraits, the Client acknowledges and declares that they have read all the instructions provided during the purchase procedure and fully accept these Terms and Conditions.
- 6.5. Without prejudice to the use of data described in the privacy policy statement and subject to the express consent of the Client, the portrait commissioning form and the Client's data related to that portrait commissioning form may be kept by Pirinthian Portraits for the period required by applicable legislation.
- Method of payment
- 7.1. Clients may pay for any Portrait by credit card, debit card, cheque or by bank transfer.
- 7.2. Pirinthian Portraits accepts payments made with the following credit/debit cards: Visa, MasterCard, Delta, Maestro, American Express, Switch.
- 7.3. The transactions will be debited from the Client's credit card only after:
7.3.1. The credit card data has been verified;
7.3.2. The authorisation to credit/debit the card has been received from the issuer of the card used by the Client, and
7.3.3. The availability of the Portrait has been confirmed by Pirinthian Portraits and the order is therefore ready to be fulfilled.
- 7.4. A debit shall be made at the moment of transmission of the order proposal.
- 7.5. Pirinthian Portraits accepts payments made by bank transfer to the following: Equoia Limited, Account Number: 20022160, Sort Code: 20-45-57. Please make sure to use your name for the reference for the transaction so we can cross check with our order records. Equoia Limited is the holding company for Pirinthian Portraits.
- 7.6. Pirinthian Portraits accepts payments made by a UK GBP bank cheque payable to: Equoia Limited. Please add your full name and email address on the back of the cheque. Send your cheque to Equoia Limited, 90 Paul Street, London EC2A 4NE. Equoia Limited is the holding company for Pirinthian Portraits.
- 7.7 All costs and expenses (including bank charges) associated with the bank transfer, invoiced, as the case may be, to the Client by his/her bank, shall be borne by the Client.
- 7.8 In the event that, for any reason, it is impossible to debit amounts due from the Client, the transaction shall be stopped and the sale cancelled.
- Conclusion of the contract
- 8.1. The contract between Pirinthian Portraits and the Client shall be deemed to be executed at the moment that the Client receives confirmation from Pirinthian Portraits that his/her portrait commissioning form, sent through the process set out on the Website, has been concluded successfully, once the availability of the Portrait has been verified and the price for the purchase has been debited to the Client's credit card or in the case of payment by bank transfer or cheque, confirmation of the receipt of the bank transfer/cheque in cleared funds has been received by Pirinthian Portraits. The Client's portrait commissioning form shall be binding on Pirinthian Portraits when the Website purchase procedure is completed without error.
- 8.2. Pirinthian Portraits reserves the right to partially fulfil any order in the event that one or more of the Portraits ordered by the Client is delayed in production.
- 8.3. Pirinthian Portraits shall not be liable for errors due to the Client's connection to the Website.
- 8.4. A potential or actual Client has obtained permission for Pirinthian Portraits to use a copyrighted image from a photographer to use as the basis for a portrait.
- 8.5. At the moment of confirmation of the order or execution of the contract, Pirinthian Portraits shall provide the Client, by email, information on the essential characteristics of the purchased Portrait, a detailed indication of the price and means of payment, information on the conditions and methods to exercise the right of cancellation, including information on the exclusion of the right of cancellation for personalised Portraits, the address to which complaints may be addressed, and information on support services. The Client should immediately review this communication and notify Pirinthian Portraits of any errors or omissions immediately.
- Invalidity of the portrait commissioning form
- 9.1. Notwithstanding the provisions of Paragraph 8 above, no portrait commissioning form shall be considered as accepted by Pirinthian Portraits nor shall any contract be concluded between Pirinthian Portraits and the Client if Pirinthian Portraits has reasonable reason to believe that the Client:
- 9.1.1. Is not a bona fide Client; or
- 9.1.2. Attempts to exercise a right of cancellation in any illegitimate manner.
- 9.2. In such cases, the order proposal sent by the Client shall be void and have no effect. Pirinthian Portraits shall notify the Client, by email, of its non-acceptance of the portrait commissioning form and the failure to conclude the contract and shall also cancel any debit and/or charge against the Client.
- Transport and delivery
- 10.1. For security reasons, Portraits shall be delivered to the address registered on the credit card unless otherwise indicated by the Client. The signature of the Client or of a nominated adult over 18 years of age will be required at the time of delivery. Pirinthian Portraits cannot deliver to PO boxes.
- 10.2. In the case of payment by bank transfer or cheque, deliveries shall be sent once the transfer has been received in cleared funds by Pirinthian Portraits.
- 10.3. For each order, Pirinthian Portraits shall send an invoice by email or by post to the Client. The invoice will be based upon the information provided by the Client at the time of the order. No alterations to the invoice are possible after it has been issued.
- 10.4. Delivery charges are included in the price and not borne by the Client.
- 10.5. All purchases shall be delivered by our selected courier service (hereinafter, "Courier"). Pirinthian Portraits is not responsible for delays that are unforeseeable and/or attributable exclusively to the Courier.
- 10.6. In all cases, except those of events beyond the reasonable control of Pirinthian Portraits or unforeseeable circumstances, Portraits shall be delivered within 60 (sixty) days from the day following that of the contract conclusion as per Paragraph 8.1 above, unless Pirinthian Portraits notifies the Client, including by email, within the same term or by the last date agreed for delivery, of the ordered Portrait being unavailable, including temporarily unavailable. In this event, Pirinthian Portraits shall reimburse any sums paid by the Client in respect of the order.
- 10.7. In the event that, in response to Pirinthian Portrait's notification of a delay in the delivery, the Client wishes to cancel the order, any amount already paid by the Client shall be reimbursed as soon as possible, in all cases no later than 30 (thirty) days of the date of receipt of the Client's notification of cancellation of the order, with the exception of personalised Products, which are subject to Paragraph 13 below.
- 10.8. The Client or his/her nominated representative must be present at the delivery address indicated on the order for delivery of the Portrait(s). At the time of delivery of the Portrait(s) by the Courier, the Client is required to verify:
10.8.1. That the number of items being delivered corresponds to that indicated on the delivery note; and
10.8.2. That the packaging and its seals are intact, undamaged, not wet or altered in any manner. Any damages to the packaging and/or the Portrait, or discrepancies in the number of items or documentation must be immediately indicated in writing on the Courier's delivery note. Once the Courier's document has been signed and no objection has been raised by the Client, the Client may not make any objection to the exterior characteristics of the consigned parcel.
- Dispatching and delivery confirmation
- Pirinthian Portraits shall send the Client a confirmation email once the Portrait(s) is/are dispatched and a further communication once the Portrait(s) has been delivered.
- Wrapping or packaging
- Portraits purchased from the Website are delivered in sturdy protective packaging.
- Personalised Products
- In accordance with The Consumer Contracts Regulations (13th June 2014), and subject to Paragraph 14.1 below, the right to cancel, which would otherwise be available, does not apply to orders for personalised products. The Client is aware that images on the Website do not necessarily correspond to reality: images and photographs of portraits may not reflect the actual appearance of the final Portrait.
- Right of cancellation of orders
- 14.1. Pirinthian Portraits seeks the complete satisfaction of its Clients. The Client has the right to cancel the contract without specifying any reason, by returning Product(s) purchased from the Website within 14 (fourteen) working days of the date the Product(s) was purchased. This applies to all Products other than the personalised ones such as bespoke Portraits, which are subject to Paragraph 13.
- 14.2. To exercise the right of cancellation, the Client should send an email to:
- 14.2.1. An indication of their intention to exercise the right of cancellation;
- 14.2.2. The order number; and
- 14.2.3. In the event that the Client purchased the Portrait by bank transfer or cheque, the Client's bank details to which the reimbursement is to be made.
- 14.3. Upon exercising the right of cancellation, Pirinthian Portraits shall reimburse the full price of the Portrait provided that they are returned by the Client unused and undamaged, accompanied by the relevant original invoice and the original Pirinthian Portraits packaging. Pirinthian Portraits shall accept returns and exchanges of Portraits that have been delivered with a return/exchange label only if the instructions for return indicated above are fully complied with and the label or adhesive or seal is intact and attached to the Product.
- 14.4. Pirinthian Portraits reserves the right to refuse returns of Portraits that do not comply with these requirements. In cases of defective Portraits, the provisions of Paragraph 16 "Lack of conformity" shall apply. Reimbursements shall be made by the same method of payment used for purchase. Portraits purchased online cannot be reimbursed or exchanged for money.
- 14.5. The cost of returning the Portrait shall be borne by Pirinthian Portraits.
- 14.6. Each delivery shall contain simple instructions for the return of the Portrait.
- 14.7. Pirinthian Portraits undertakes to reimburse the Client within 30 days of the date of receipt of the Client's notification of cancellation of the order.
- 14.8. Pirinthian Portraits shall send a notification email once the reimbursement has been made.
- 14.9. Portrait(s) will be returned using our nominated courier.
- 14.10. If a Client wishes to amend or cancel an order already made, an email must be sent before the Client receives confirmation of dispatch by Pirinthian Portraits, send an email to:
- 14.11. Pirinthian Portraits shall make every effort to satisfy the Client's request. However, once the Portrait has been dispatched, the order cannot be cancelled or amended. Dispatched Portraits can however be returned as set out in these Terms and Conditions. This Paragraph does not affect your statutory rights as a consumer.
- Replacement of Portraits
- 15.1. Pirinthian Portraits allows Clients to replace Portraits purchased on the Website.
- 15.2. To replace a Portrait purchased on the Website, Clients should follow the procedure set out below.
- 15.3. Clients who are not fully satisfied, or who believe there is a discrepancy in their order must keep all the documentation relating to the delivery and the Portrait itself in its original packaging and immediately contact Pirinthian Portraits by email: following the procedure set out in Paragraph 14 above.
- 15.4. The Portrait to be replaced must be received by Pirinthian Portraits in its original condition as when delivered, as provided in Paragraph 14.3.
- 15.5. The placement of the new order is subject to the standard 6 week delivery period.
- 15.6. Delivery costs for the return of the Portrait are borne by Pirinthian Portraits.
- 15.7. A Portrait will not be replaced if a Client has used a copyrighted image(s) from a photographer without having obtained prior permission from the photographer for Pirinthian Portraits to use the image(s) as the basis for the Client's Portrait.
- 15.8. In the event that the Client is seeking replacement due to lack of conformity pursuant to Paragraph 16 below, the replacement Portrait shall be sent to the Client by courier without any additional delivery charge.
- Lack of conformity
- 16.1. If a Portrait has a manufacturing defect or other lack of conformity, the Client must immediately contact us by email:
- 16.2. The Client has the right to have the Portrait brought into compliance free of charge by repair or replacement, or, in case of failure of one of the remedies above, to have an appropriate reduction made in the price of the Portrait, or the contract cancelled.
- Errors or inaccuracies
- 17.1. Pirinthian Portraits undertakes to provide up to date information in the sections of the Website relating to the description and/or sale of the Portraits. However, Pirinthian Portraits cannot guarantee the Website will be error free. The Website in question may contain typing errors, inaccuracies or omissions, for example relating to the price or availability of the Portrait or in the information provided on the Portrait. Pirinthian Portraits reserves the right to correct such errors, inaccuracies or omissions, even after an order proposal has been sent, and also reserves the right to change or update information at any time without prior notice.
- Guarantee of authenticity and intellectual property rights
- 18.1. Pirinthian Portraits guarantees the authenticity of all Portraits purchased on the Website. Portraits are produced with the best materials, manufactured by artisans.
- 18.2. The "Pirinthian Portraits" trademark, together with the set of figurative and non-figurative trademarks, service marks, present in the Portraits, the relevant accessories and/or packaging, marks consisting of shapes of goods, that are subject to registration or otherwise, together with all the illustrations, images and places protected by copyright, and more generally all the intellectual property rights relating to the Portraits, are and remain the exclusive property of Pirinthian Portraits and Equoia Limited.
- 18.3. Pirinthian Portraits respects the intellectual property rights of photographers' copyrighted images. It is one of our terms & conditions that potential and actual Client's have obtained permission from a photographer to use an image(s) they have created as the basis for a portrait.
- Pirinthian Portrait's liability
- 19.1. Subject to Paragraph 19.2, Pirinthian Portraits will not be liable under these Terms and Conditions for any loss or damage caused by Pirinthian Portraits or its employees or agents in circumstances where:
19.1.1. There is no breach of a legal duty of care owed to the Client by Pirinthian Portraits or by any of Pirinthian Portrait's employees or agents;
19.1.2. The Client has not obtained permission for Pirinthian Portraits to use a copyrighted image from a photographer to use as the basis for a portrait;
19.1.3. Such loss or damage is not a reasonably foreseeable result of any such breach and so is an indirect or consequential loss, and
19.1.4. Any increase in loss or damage results from breach by the Client of any term of these Terms and Conditions.
- 19.2. Nothing in this agreement excludes or limits Pirinthian Portrait's liability for:
19.2.1. Death or personal injury caused by Pirinthian Portrait's negligence;
19.2.2. Fraud or fraudulent misrepresentation;
19.2.3. Any breach of the obligations implied by section 12 of the Sale of Goods Act 1979;
19.2.4. Defective products under the Consumer Protection Act 1987; or
19.2.5. Any other matter for which it would be illegal for Pirinthian Portraits to exclude or attempt to exclude its liability.
- 19.1. Subject to Paragraph 19.2, Pirinthian Portraits will not be liable under these Terms and Conditions for any loss or damage caused by Pirinthian Portraits or its employees or agents in circumstances where:
- Applicable law and competent jurisdiction
- 20.1. These Terms and Conditions are governed by English law and shall be interpreted in accordance with English laws.
- 20.2. Any disputes arising from the interpretation, validity and/or execution of these Terms and Conditions shall be subject to the mandatory territorial jurisdiction of the competent court of the place of residence or domicile of the Client/consumer.

- 22.1. We will not pass on your email address to any third party for marketing purposes.
- 22.2. We may send you special offers, promotions and blog/journal postings by email and/or standard post. If you do not want to receive these you can unsubscribe by telling us via email.
- 22.3. We do not store your credit card details on our website, transactions are processed securely via an outside payment company.
- 22.4. We protect the limited customer information we do collect (name, email, address and telephone number etc.) by limiting access to our secure systems.
- 22.5. We do not use cookies on our website.
